1. Agreement to Terms
By accessing or using the LocalSites website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms constitute a legally binding agreement between you and LocalSites ("we," "us," "our").
2. Services Description
LocalSites provides website design, development, hosting, maintenance, and related digital services for local businesses. Our Services include but are not limited to:
- Custom website design and development
- Website hosting and domain management
- Search engine optimization (SEO)
- Website maintenance and content updates
- Consulting and digital strategy
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your business
- Respond to requests for feedback and approval in a timely manner
- Ensure that all content you provide (text, images, logos) does not infringe on third-party intellectual property rights
- Make payments according to the agreed-upon schedule
- Notify us of any changes to your contact or billing information
4. Payment Terms
Payment terms are outlined in the individual service agreement or invoice provided to each client. General terms include:
- Website design projects require a deposit before work begins
- Remaining balance is due upon project completion and approval
- Monthly hosting fees are billed on a recurring basis
- Late payments may incur additional fees as outlined in your service agreement
- Refunds are handled on a case-by-case basis per our refund policy
5. Intellectual Property
Upon full payment, you own the content and design of your completed website. However:
- We retain the right to display your website in our portfolio
- Third-party assets (stock photos, fonts, plugins) are subject to their respective licenses
- Proprietary tools, code libraries, and frameworks developed by LocalSites remain our intellectual property
- You grant us a license to use your business name and logo for portfolio and marketing purposes
6. Hosting Terms
If you subscribe to our hosting services:
- We will use commercially reasonable efforts to maintain 99.9% uptime
- We perform regular backups but recommend maintaining your own copies of critical content
- We reserve the right to suspend hosting for non-payment after a 15-day grace period
- You may cancel hosting at any time with 30 days' written notice
- Upon cancellation, we will provide a reasonable period to migrate your website
7. Limitation of Liability
To the maximum extent permitted by law, LocalSites shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services. Our total liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless LocalSites, its owners, employees, and contractors from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.
9. Termination
Either party may terminate the service relationship with 30 days' written notice. We reserve the right to terminate Services immediately if you breach these Terms, fail to make payment after the grace period, or use our Services for illegal or harmful purposes.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which LocalSites operates, without regard to conflict of law principles.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
